POSCO Future M Recommends New Internal and External Directors

- President Yoo Byung-og, newly recommended for the internal director, Planning Support Division Head Yoon Deok-il, and Chief Safety and Environment Officer Kim Jin-chool re-nominated

- Former Vice Minister of Gender Equality and Family Lee Bok-sil and Gachon University Department of Business Administration Professor Yoon Tae-hwa newly recommended as external directors, external director Kwon Oh-cheol re-nominated

- Kim Jun-hyung of POSCO Holdings' Eco-friendly Future Materials Division recommended as non-executive director

 

On the 27th, POSCO Future M held its regular board meeting and decided to propose the nomination of internal and external director candidates for the agenda of the regular shareholders' meeting.

 

At this meeting, President Yoo Byung-og was recommended as a new internal director, while Planning Support Division Head Yoon Deok-il and the Chief Safety and Environment Officer (CSEO) Kim Jin-chool were re-nominated as internal directors. President Yoo Byung-og, who joined POSCO in 1989 and has served in various key positions, including Head of Business Strategy, Raw Materials, and Industrial Gas & Hydrogen Business, is regarded as the top expert in the group's eco-friendly future materials sector. He is expected to lead the continuous growth of the secondary battery materials business.

 

Moreover, the board recommended former Vice Minister of Gender Equality and Family Lee Bok-sil and Gachon University Department of Business Administration Professor Yoon Tae-hwa as new external directors and re-nominated external director Kwon Oh-cheol, whose term is expiring.

 

Candidate for external director Lee Bok-sil, with experiences such as Vice Minister of Gender Equality and Family, President of the Korea Chapter of the Global Women Corporate Directors, and Vice President of the Management Institute for the State, not to mention her role as an external director and ESG committee chair at Lotte Card, is expected to provide balanced opinions on sustainable management systems and the creation of social value in corporate management activities.

 

Candidate for external director Yoon Tae-hwa, a professor at Gachon University and Dean of the Graduate School of Business, is a finance and accounting expert with experience as a managing partner at an accounting firm and President of the Korean Academic Society of Taxation. As a certified public accountant, he possesses profound expertise and extensive experience in audit functions. His understanding of advanced governance structures is expected to advance the audit committee's work.

 

Kim Jun-hyung of POSCO Holdings' Eco-friendly Future Materials Division is recommended as a non-executive director. With broad business experience and expertise, including roles as CEO of POSCO ESM, SNNC, and POSCO Future M, Kim is anticipated to contribute significantly to the company's performance.

 

The candidates for internal and external directors recommended this time are to be officially appointed at the regular shareholders' meeting on March 25th.

 

Additionally, at this board meeting, it was decided to present the ‘approval of the 2023 financial statements,’ ‘some revisions to the articles of incorporation,’ and the ‘approval of director remuneration limits’ as items for the shareholders' meeting.
